Job description
Location: London (homeworking flexibility) / Hybrid Working approach of being in the office at least twice weekly
Manager: Chief Corporate Officer
Role Purpose: The key purpose of this position is to establish and build an in-house legal function at Carbon Clean, leading the provision of legal services and risk management across the business.
Role Priorities:
Providing general legal advice and support to the business on a range of matters including key commercial transactions, data protection, intellectual property & special projects
Implementing new legal processes and procedures and a contract management platform
Standardisation of all contract templates with clear guidance
Developing an internal playbook for our commercial contracts and general engagement with third parties
Management of external legal advisory services and procurement globally
Ownership of ABC compliance and other key compliances
Overseeing the activities of the group legal and risk manager (when appointed)
Supporting growth relating to product and geographical expansion
Key Responsibilities: This role will be multi-dimensional and full of variety! You will be involved in a wide range of People related activities which support our people throughout their time at Carbon Clean. Key priorities will include:
Supporting all aspects of commercial contracting with customers, suppliers and partners including leading direct negotiations with third party legal representatives with the objective of streamlining the negotiation process and timetable
Advising on regulatory and compliance matters in all of our geographies, liaising with local counsel where appropriate
Leading on the development and management of corporate policies, procedures and best practices
Identifying legal and commercial risks, assessing their potential impact, identifying opportunities to capture value and growth, and providing strategic and timely legal advice
Developing expertise in our product and building strong relationships with our clients
Working closely with leadership to advise on legal matters and manage external counsel effectively
Leading on all legal processes required for fundraising, M&A and governance, and assisting with new and existing shareholder management
Responsibility for fiduciary obligations, including undertaking general corporate secretarial duties in the UK and worldwide
Forming new entities internationally, implementing governance processes and setting up the legal framework to comply with local regulations and tax compliance requirements
Drafting and reviewing adhoc legal documents (e.g. NDAs), managing general legal queries and advising on a variety of issues facing a high-growth company such as data protection and intellectual property
Supporting our Director of People and Talent to ensure employee contracts, handbooks, compensation structures, templates, employment policies and processes are kept updated
Experience: To be successful in this role you will need to possess the following knowledge, experience and skills:
Bachelor's degree or equivalent practical experience
Deal execution; advising teams internally etc.
ABC compliance
Experience of complex technology / engineering project contracts and negotiation
