Who we're looking for

Do you have deep private equity experience and a passion for being at the forefront of deals. Do you want to take a lead role in a fast growing MIP advisory valuation business and provide best in class support to PwC's top tier client base? This is a great opportunity to work with a dynamic team and to help shape and grow the business.

Our team has a fantastic role for a confident and proactive senior manager within our Valuation Practice. Given the high growth trajectory of the business we are looking for senior managers with director potential.

About us

Our dedicated Deal Reward Valuation business (majoring on Private Equity management equity and fund carried interest valuations) is part of the largest management equity advisory business in Europe. Agreeing and implementing a management equity plan ("MIP") being one of the key steps in closing deals and to drive Value Creation under new ownership. Similarly, carried interest valuations is a critical consideration to our fund clients.

The team supports a wide array of private equity clients and management teams across a large number of global, European and UK deals annually. The team sits within the wider Valuations business and is closely integrated with PwC Deals and Fund Tax, PwC Corporate Finance and PwC Legal as part of a multi disciplinary offering in the MIP and Carried Interest space.

Deal doers come to us to obtain advice on MIP/carried interest design and valuation for many reasons, including to support them in:

  • Designing and assessing MIPs at the competitive offer stage

  • Implementation of MIPs at closing

  • Through the cycle MIP valuations for joiner and leaver events and MIP resets

  • Carried interest valuations

  • Vendor assist support and buy side due diligence reviews of third party valuations

  • Agreeing and debating valuations with the respective tax authorities

  • Expert advice in dispute scenarios; and

  • Financial reporting MIP valuations

As commercial deal advisers and MIP/carried interest valuers we need to fully understand our clients' commercial objectives, the industries in which they operate and a deep understanding of deal structures. Our objective is to provide our clients with commercial, pragmatic valuation analysis that draws on industry insight, deal structuring, our deep interaction with various tax authorities and is grounded in technical excellence.

Role Responsibilities

  • Contribute to the team's strategic vision and transformation journey and help lead a team of 30+ individuals

  • Lead on business development activities and win new work in the market

  • Nurture our key client relationships

  • Lead and coach teams to deliver a wide range of MIP/Carried interest valuations for the private equity deal channel

  • Present sector and technical insight both internally and externally to grow the profile of the team

The following skills and attributes are required for this role

Essential Skills

  • Strong PE MIP/carried interest, general private equity and deal structuring experience

  • A strong appreciation of value creation objectives in deals.

  • Technical valuation skills and experience in respect of leveraged equity instruments

  • ACA (or equivalent) or CFA qualified/part qualified is desirable but not essential

Personal attributes

  • Proven ability to sell advisory services and develop new business relationships with clients

  • Commercial awareness and passionate about the deal environment

  • Passionate about client service

  • Highly motivated self-starter with a desire to succeed.

  • Strong communicator both oral and written

  • Consultative and collaborative mind-set with the ability to work effectively in teams, often to tight deal deadlines

  • Excellent interpersonal skills, able to work collaboratively with people at all levels in a confident manner
