Job description

As Senior Legal Transaction Counsel you are responsible for advising and supporting the Investment Office of the insurer(s), particularly with regard to derivatives and structured investments. The Investment Office invests the assets on the balance sheet of the insurers (own account investments). You will be advising on derivatives and securities lending documentation, a broad scope of relevant regulation (e.g. EMIR, CSDR, Benchmark reforms, prudential law), structured finance, the acquisition of loan portfolios, transactions on the primary and secondary markets, reinsurance transactions and commercial real estate. You are also able to provide general financial regulatory advice, and assist other legal colleagues where necessary.You are responsible for, among other things:The regulatory advice and documentation of cleared and non-cleared derivatives, repos and securities lending (ISDA, CSA, IM CSD, GMRA, GMSLA and clearing agreements)The legal aspects and documentation of the insurer's structured investments (such as collateral swaps, secured loans and structured plan assets)The execution of the legal due diligence on fund managers and their investment proposalsDrafting and reviewing various types of agreements, including investment management agreements, custody agreements and outsourcing agreementsYou work closely with colleagues from the Investment Office, Tax and Risk Management. This includes the acquisition of loan portfolios, transactions in the primary and secondary markets, EMIR, structured finance and commercial real estate. In addition, the team is involved in pension buy outs, new successful collaboration projects and (international) outsourcing initiatives.
