OPPORTUNITY
Mammoth Biosciences is seeking an experienced corporate and transactional attorney to join our growing legal team. The ideal candidate will have a strong background in supporting a broad range of corporate governance, human resources, legal operations and transactional matters and will have experience supervising other attorneys and paralegals. This role will lead our contracting function, including contract and records management, and will be responsible for oversight and drafting, reviewing and negotiating a variety of contracts including but not limited to supply chain agreements, master service agreements, financial transactions, consulting agreements and confidentiality agreements. The Senior Director will also support the Human Resources department and the Business Development team and support collaboration and licensing transactions, M&A or other financing deals. In addition, the candidate will assist the General Counsel and the Finance Department with corporate matters, including equity incentive plan and stock matters and corporate filings as needed. Overall, the candidate should be comfortable developing and reviewing Mammoth policies and practices.

KEY RESPONSIBILITIES

  • Manage all contracts and provide high-quality, timely, and practical legal advice
  • Identify, assess and help resolve critical legal and business issues
  • Establish and maintain working relationships with all levels of management, including working closely with Finance, Supply Chain, Product, and Business Development teams
  • Apply legal expertise, drafting and negotiation skills to counsel and support the Company to effectively manage contractual matters, including drafting, review and negotiation of complex strategic transactional agreements, partnership agreements, commercial, and operational agreements and negotiate business transactions, including joint ventures, acquisitions, and divestitures
  • Build a strong rapport and working relationship with business, operational, and legal team members to help drive the delivery of effective and high-quality legal services
  • Manage and collaborate with outside counsel and other advisors on strategic areas
  • Develop metrics to assess performance of legal team and improve and innovate legal workflows, including tracking agreements for compliance
  • Develop and review Company policies and practices, including partnering with internal stakeholders to develop technology, privacy, and compliance policies
  • Resolve issues that arise in existing commercial relationships and handle pre-litigation legal disputes, investigations and inquiries
  • Support employee immigration issues
  • Ensure compliance with GDPR (General Data Protection Regulation), California privacy laws, and HIPAA
  • Maintain knowledge of the company's legal documents and operations
  • Ability to travel for deal negotiations, as required

REQUIRED QUALIFICATIONS
  • A JD and a license to practice in at least one state in the US
  • 7 years of progressively responsible transactional/corporate/commercial legal experience
  • Experience at a nationally recognized law firm and/or in-house corporate legal department
  • Demonstrated experience in hands-on drafting and negotiation of transactional, commercial and other contracts
  • Ability to work onsite at our Brisbane location as needed


PREFERRED QUALIFICATIONS
  • California bar membership
  • Bachelor's degree in life science discipline
  • 2+ years in-house corporate legal experience
  • Experience representing a start-up/fast-growth life science organization
  • Excellent communication, organizational, planning and management skills, with the ability to handle multiple projects simultaneously
  • Strong intellect, excellent legal acumen, and rigorous analytical skills
  • Experience working in cross-functional teams, as well as sound business and legal judgment, and strategic and analytical thinking
  • Ability to identify opportunities to leverage existing systems and processes, create new process initiatives and solutions
  • Ability to be highly engaged and succeed in a collaborative and fast-paced environment
  • Experience working with and advising clients directly and providing practical solutions
  • Excellent written and verbal communication skills, with the ability to communicate legal requirements to a non-legal audience
