Job description

The VP Corporate Development is an experienced, senior Finance leader with strong communication skills and the relevant prior experience who will be responsible for the development and execution of FA's M&A growth strategy. These responsibilities span the M&A lifecycle from strategy development, industry and competitive analysis, M&A pipeline management, active deal diligence and execution, M&A-related financial and valuation modeling, integration planning support and ongoing performance monitoring. This individual is expected to build relationships with investment banks, target company founders and executives, external M&A advisors and FA business leadership to help build deal pipeline and close transactions that advance FA's strategic objectives. This position is an individual contributor who works closely with SVP Finance, CFO, CEO and Silver Lake team. Other duties, assignments and specific projects may be assigned on an ad hoc basis.



Duties & Responsibilities:

  • Manage and complete M&A deal diligence and execution to include: target company diligence and analysis, preparing financial/operating models, pro forma combined company analysis and valuation materials, purchase agreement review and negotiation, preparing deal memos and diligence summaries for FA leadership and investors; coordinating diligence efforts across internal teams and with third party advisors
  • Build M&A deal pipeline through ongoing discussions with internal FA business leadership, investment banks, M&A sourcing / business development firms, target company management, industry associations / networking
  • Assist and manage post-closing integration support and monitoring (financial and business)
  • Assist with creation of strategic plans and M&A strategy development with SVP Finance, CFO and CEO
  • Maintain M&A deal pipeline tracker, transaction comps database, public comps analysis, industry and economic research, assist FA Communications & Investor Relations team with preparation of investor communications related to M&A



Education:

Bachelor's Degree in Finance, Accounting, or other analytical field is required. MBA preferred.



Required Experience:

  • 8 - 12 years of relevant professional experience with 4+ years in an M&A execution capacity
  • Must have deep financial modeling capabilities in the M&A context
  • Investment Banking experience a plus

  • Excellent communication (written and verbal), analytical, and interpersonal skills
  • Strong business acumen with commitment to achieve financial targets and business objectives
  • Self-motivated individual contributor and effective team player
  • Organized and process oriented while also having ability to adapt to changing environment
  • Attention to detail and commitment and flexibility to meet critical deadlines
  • Deep understanding of corporate finance, accounting concepts in the M&A context
  • Strong computer skills, including proficiency in Microsoft Excel, Word, and PowerPoint
  • B2B tech / data / HR technology / information services industry experience is a plus
  • Working experience with financial reporting and FP&A software/systems is a plus



Working Environment: Role will be majority remote. Must have proper work-from-home environment (internet, office-space, etc.) to be fully functional away from the office. The role will require spending some time in the Atlanta office.
