We are hiring a Senior Legal Counsel to be a member of the Intellectual Property & Commercial Contracts (IPCC) team, a global team whose other members are based in London, Singapore, and the US. This lawyer will work from the legal department in T. Rowe Price's Owings Mills offices with other lawyers from the IPCC team and where other lawyers provide a range of legal services to T. Rowe Price. The role is regarded as an expert in this space within the Legal Department and the company. In addition to expertise within this field, you are creative and solution-oriented and can provide authoritative advice on best courses of action in area of expertise.

ROLE SUMMARY:

Provides specialized, expert legal counsel to multiple businesses or functional areas on intellectual property and outsourcing, technology, and other supplier transactions for goods and services across the enterprise and for offices and business lines in the US, as further set forth below. Often seen as a legal practice area expert, advising business or functional area leaders on legally sound courses of action in the resolution of business problems. Has a breadth of expertise across multiple key legal issues that are strategically relevant to assigned businesses or functional areas, including general contract principles, industry standards relevant for supplier contracts, and applicable laws and regulations across relevant jurisdictions that impact these transactions (including intellectual property, privacy/data protection, cybersecurity, information governance and security, and other regulatory matters).

Viewed as a trusted internal resource capable of using knowledge of the organization's businesses, products, services, and/or strategies to articulate and advance complex legal positions. Contributes to establishing the organization's professional standards in areas of expertise. Responsible for assigned matters and may assign work to less experienced attorneys or other legal staff.

RESPONSIBILITIES

  • Provide advice and counsel on structuring, development and implementation of, contract interpretation, and risk management in, and lead negotiation of, general complex commercial transactions, including technology transactions, cloud computing and software services, website and app development, reseller services, outsourcing services, consulting services, other professional services, data licensing (including index and market data), content licensing, facilities, construction, real estate, and more. Collaborate with T. Rowe Price business team associates from all areas of the company with a range of seniority, subject matter experts, risk associates, leadership, and outside counsel, as necessary.
  • Responsible for preparing bespoke templates and reviewing, drafting, and negotiating standard and customized supplier contracts, from RFX to termination, including all related documents, for goods and services primarily relating to affiliates/offices located outside the U.S. Understands and ensures adherence to internal policies and procedures, client contractual commitments, and regulatory requirements within contract documents to continuously ensure that contract structure, drafting, negotiation, and execution comply with such policies and commitments. Offers excellent complex contract drafting and negotiation skills Adeptly and proactively identifies and escalates issues and provides risk-based recommendations and advice within strategic business conversations.
  • Analyze and remediate legacy legal documents for conformance with developments in applicable laws and regulations and current internal policies and procedures.
  • Responsible for providing legal advice and counsel on issues arising from existing contracts, including compliance with contract terms, termination or renewal. Draft termination letters. Advise and assist with negotiations to resolve contract disputes with third parties.
  • Responsible for providing legal advice and counsel to relevant business units on intellectual property and other relevant issues (including copyright, trademark, domain name, patent, trade secret, right of publicity, social media, open source, data licensing compliance).
  • Responsible for representing the IPCC team on complex, multi-jurisdictional enterprise change projects, including advising on the legal aspects and assisting in the execution of the projects in a timely and appropriate manner.
  • Responsible for training procurement and business team colleagues on use of templates and updates in legal and regulatory matters.
  • Assist in the development of policies, processes, and procedures to govern the supplier contract lifecycle, intellectual property protection and compliance, and risk management.
  • Keep apprised of legal, legislative, and regulatory developments; analyzes their implications to the firm; and advises appropriate business units of such implications to ensure the firm's ongoing compliance with all applicable laws and regulations.


TYPICAL QUALIFICATIONS
  • JD required. Must have 7 + years of relevant in-depth experience at a mid-to-large national or international law firm or corporate legal department of major financial services or technology company, leading and closing deals for outsourcing, technology, and IP/IT transactions, with specialized knowledge of the review and negotiation of large scale national, global or enterprise-wide technology contracts, cloud-based services and migration, emerging technologies and trends (robotic process automation, AI, fintech and regtech, etc.), software and data licenses, financial market data licensing, technology implementation and deployment, maintenance and support, offshoring, consulting agreements and other similar business arrangements and contracts.
  • Experience and specialized knowledge of applicable market, legal, and regulatory environment impacting and informing the range of transactions, including US intellectual property laws and US privacy laws, and familiarity with international privacy laws.
  • Law Degree from accredited School of Law and admission to the MD State Bar or other State Bar

  • Excellent written, verbal, and communication skills. Must be able to draft bespoke contract templates and provisions creatively from scratch without reference to a model in order to address novel or unique concepts that arise in our practice area.
