Job description

Overview:
Bring your skills as a Legal professional to a growing Fortune 500 retail company and certified Great Place to Work! As Director, Counsel - Corporate ,you'll work on a broad variety of legal issues mainly focused on contractual agreements in a retail environment, vendor sourcing issues, and vendor due diligence.

Responsibilities:
Negotiate, draft, edit, review and interpret commercial documents, including master service agreements, statements of work, license agreements, non-disclosure agreements, amendments, and other transactional documents

Provide sound legal advice and direction to minimize business risks and support thebusiness teams

Mitigate potential risks/issues and ensure compliance with applicable laws and policies by effectively assessing/determining the appropriate documentation necessary to meet business needs/requirements

Provide proactive risk assessment advice related to terms and conditions of agreements at the commencement of the vendor procurement process

Research various issues and draft memoranda with findings and recommendations

Clearly communicate to decision makers the risks & benefits of negotiating options and contractual provisions and make recommendations accordingly

Maintain status report of active and executed contracts and ensure appropriate approvals are archived with respect to executed agreements

Work with business partners to continuously improve efficiency and organization of internal contract review process

Create summaries of various agreements entered into by the company to assist in administering its ongoing vendor relationships

Conduct research and keep abreast of laws and industry-related topics that could impact applicable contracts and use this information to make appropriate adjustments to contractual templates

Collaborate to ensure consistency among company standards and contract terms, update contract templates as necessary, and work with Procurement Department on implementing templates in P2P system

Assist with research, review, and other activities related to vendor due diligence, including review of third party vendor due diligence reports and additional follow up

Assist Procurement and IT Departments with initial due diligence risk scoring and follow up queries

Qualifications:
The successful candidate will be a collaborative team player with 3-5 years of relevant experience in commercial contractual negotiation and drafting within an in-house corporate legal department setting and/or law firm. Large firm experience a plus. JD from a highly rated accredited law school required; must be a member of a State Bar with the ability to obtain New Jersey in-house certification if not admitted in New Jersey.
