Nearwater Capital, a rapidly growing and innovative specialty finance company headquartered in New York City with global operations and client base. Established in 2017, Nearwater has distinguished itself as a leader in delivering thoughtful, solutions-based financing to some of the largest financial institutions and financial services firms in the world. Nearwater is looking to add to its legal team by hiring an experienced structured finance paralegal to work directly with the in-house legal department and business groups on the execution and management of transactions.

The ideal candidate will have paralegal and/or legal admin experience at a law firm or in-house at a major global bank or investment management firm and has strong experience working on structured finance/securitization or capital markets transactions. This candidate will report directly to our General Counsel and work closely with various business units on the negotiation and closing of new transactions.


Responsibilities:

  • Provide legal administrative support to the in-house legal department as well as the business units
  • Coordinate completion of transaction documentation (e.g., know-your-customer questionnaires, incumbency certificates, resolutions, etc.) relating to various transactions
  • Organize, oversee and coordinate the closing of transactions, and maintain transaction closing sets
  • Create and maintain tools to support and streamline the review of legal documents
  • Assist on topical research pieces (i.e. risk retention, trends in loan/borrower structural provisions, impact of court rulings, etc.)
  • Perform other related legal/paralegal functions
  • Interact with outside counsel, service providers, senior management, and other departments within the firm (e.g., operations, risk, compliance)
  • Perform ad hoc projects as needed

Skills/Background:

  • Must have a bachelor's degree and a minimum of 4Pa years of transactional paraprofessional experience at a top-rated law firm, investment bank or investment management firm
  • Experience or familiarity with a variety of financing structures (repos, swaps, securitization transactions or other structured products etc.) a plus
  • Proficiency in Microsoft Office software (e.g. Word, Excel, PowerPoint, and Outlook) and PDF software (Adobe)
  • Ability to perform in fast-paced environment and coordinate multiple and changing priorities
  • Outstanding time management and organizational skills
  • Strong communication skills
  • Must be detail-oriented, reliable, results-oriented and highly-motivated
  • Professional, efficient, resourceful and able to work independently with minimal guidance
