Job Overview:
The Legal Division at Olive is dedicated to providing world-class service and support across the Olive enterprise. As the Senior Corporate Counsel - Corporate Transactions & Securities, you provide day-to-day support for all corporate financings, mergers & acquisitions, corporate governance, and regulatory compliance for the same. You will play a formative role in Olive's future corporate growth and public markets strategy, with primary day-to-day responsibility for executing on all legal aspects in support of the same. You will also support Olive's incubation lab and venture fund. Candidates with in-house experience at a healthcare technology company or automation company are strongly encouraged to apply, but business-minded law firm candidates with broad, related experience will also be strongly considered. Olive deploys a flexible, distributed workforce and this position can be located anywhere in the United States. You will report directly to Olive's Chief Legal Officer and will collaborate closely with Olive's CEO, Board of Directors, and all members of the executive leadership team.
Key Responsibilities:
- Be the lead attorney for all corporate financings (i.e. equity financings, debt financings, etc...), M&A, and Olive Ventures, Olive's incubation lab and venture fund
- Support the Chief Legal Officer on all corporate governance matters, such as materials for board, committee and shareholder meetings, and committee charters
- Support any future public market offering initiatives or projects to ensure compliance with all securities laws, rules, and regulations, including applicable SEC and stock exchange compliance and reporting obligations, registration statements, proxy statements, and reports on Forms 10-K, 10-Q, and 8-K
- Provide legal review for all investor presentations and other public communications and disclosures
- Advise senior leadership regarding applicable securities laws and governance matters
- Provide legal advice relating to executive compensation, stock administration, and equity awards
- Attend to corporate governance matters for all Olive subsidiaries
- Manage outside counsel and relevant third-party vendors/consultants
Requirements
- Graduate of an accredited law school and active member of a state bar in good standing
- Minimum 5 years of experience in a law firm and/or in-house (or combination of both) focused on corporate transactions, securities, and corporate law. Substantial public company reporting and/or IPO experience is mandatory
- Minimum 3 years of experience in the securities/capital markets practice of a national law firm is strongly preferred
- Strong verbal, analytical, and interpersonal skills, including the ability to effectively communicate legal concepts and risks
- Consistently demonstrate strong common sense, good business judgment, and an ability to balance legal and business risks in an incredibly fast-paced environment
- Able to work with minimal supervision and meet tight, often shifting, deadlines
- Ability to work collaboratively and efficiently with legal division colleagues, key executives, board members, and with outside counsel in multiple domestic and international jurisdictions
- Acute professionalism and decorum in advising senior leadership and board members
- Demonstrated ability to build and manage a team for the future
- Experience advising or working with venture-backed emerging companies or healthcare technology companies is a plus
