The role

We are looking for a full-time mid-level Contract / Commercial Counsel to join our legal team. The role is based in our South San Francisco office.

The role focuses on all contractual topics related to our operations, under the supervision of our General Counsel (based in France), and in close relationship with our sales, procurement and intellectual property teams. The role may at times expand to providing support to DNA Script in the US on various other legal matters.

The position reports to our General Counsel, based in France.

Responsibilities

• Take part in the drafting, the negotiation, and the follow-up of the execution of a wide variety of commercial contracts for DNA Script, including supplier and customer contracts
• Bring your legal expertise to the different teams affected by these contracts (research & development, product development, supply chain, marketing, sales, etc.)
• Assist in the creation of contractual templates, or create new ones on your own, and help automate contractual processes (with a legal tech)
• Assist in the management of contract documentation workflows, approvals, reporting and archiving consistently with internal processes
• Assist in researching and advising on financial, commercial, consumer laws which could apply to DNA Script directly or could otherwise impact its business. This part of the mission may include interactions with industry associations alongside the General Counsel.
• Ensure that KYB and other processes are followed diligently and progress efficiently
• More generally, DNA Script being a scale up company, we also expect the Counsel, as part of the legal team, to be flexible and to jump in on other topics and help other team members on other areas as the need may arise from time to time

Preferred experience

Qualifications and experience

• J.D. from a US law school
• At least 4 years of experience in a global law firm and/or in an in-house legal department
• Excellent written and verbal communication skills
• Strong experience in contract drafting and negotiation with a good understanding of intellectual property related issues
• Creative and practical thinker who can communicate information accurately and comprehensively, while being concise and digestible for non-lawyers
• Team player standing ready to help colleagues
• Ability to organize, prioritize and multitask
• Demonstrated interest in life science / biotech related matters
