Vice President, Associate General Counsel - Wealth Advisory Services Attorney
The successful candidate will be located in Wilmington, Delaware or Buffalo, New York, and will support Wilmington Trust's Wealth Advisory Services division ("WAS"), including matters relating to its fiduciary role as trustee of personal trusts, executor under wills, guardian of the estates of incapacitated persons, and its role as investment agent for personal wealth clients. More specifically, the successful candidate will:
• Provide WAS offices in multiple states with day-to-day legal advice and support for existing client relationships, conduct legal research relating to complex fiduciary and tax matters, assess legal risk and suggest actions to mitigate when appropriate, interpret various types of legal documents and respond to inquiries from internal clients on various fiduciary, tax, and other legal issues affecting the WAS Division.
• Review and prepare release, refunding, indemnification, modification, settlement and various other legal agreements, and review predecessor trustee refunding and indemnification documents.
• Serve as legal counsel to various business line committees.
• Provide legal guidance to compliance division and business line on development of policies, procedures and template forms, and participate in training the WAS Division regarding legal aspects of the new procedures and best practices.
• Assist Litigation Counsel, both internal and external, with managing litigation relating to the WAS Division, including managing outside counsel in legal research and in preparation of court pleadings, releases and other documents, monitoring outside counsel budget, and advising the WAS business line with respect to strategic litigation decisions and potential settlements.
• Partner with the organization's compliance, risk and audit groups on WAS matters relating to existing client accounts and identify, evaluate and escalate legal and regulatory risks to the appropriate persons at Wilmington Trust.
• Participate in industry association meetings to remain current in relevant laws, regulations, legal developments and industry issues affecting the WAS Division, and advise Legal Department, Senior WAS Division Management and the Compliance, Risk and Audit divisions of legal changes that affect the WAS Division's business. Qualifications
Minimum Qualifications:
- J.D. from an accredited law school.
- Minimum of 7 years' experience as an attorney or other relevant legal experience.
- Minimum of 5 years' work leadership experience
- New York State or applicable state bar admission.
