Responsibilities
Under the supervision of the General Counsel, the attorneys in the Legal Department serve as legal advisors to Draper. The attorneys develop legal strategy and provide counsel to management and other stakeholders on the legal implications of business activities across the organization. Reporting to Senior Corporate Counsel, the Associate Corporate Counsel develops coherent, informative, usable and reusable legal content and documentation for internal clients under supervisor direction. The Associate Corporate Counsel provides legal support for both government and commercial lines of business.
Under the supervision of Senior Corporate Counsel -
* Collaborate with Contracts, Subcontracts, Procurement and Property (CSPP) to review non-standard Non-Disclosure Agreements, vendor contracts for goods, services and software, and vendor edits to Draper's standard terms of purchase.
* Creation of new contract templates along with continuous improvement of existing templates, playbooks and forms to evolve with the business needs.
* Provide legal advice to CSPP and Program Offices with respect to agreement terms, intellectual property, and government data rights assertions.
* Be the Legal Department's point of contact for the Publication Review Approval process, ensuring compliance with legal requirements and company policy.
* Provide legal advice and support to the Director, Ethics & Compliance in managing employee Personal Conflicts of Interest and federal government ethics matters.
* Collaborate with CSPP to identify, mitigate and manage Organizational Conflicts of Interest in federal government contracts and internal firewall plans.
* Provide litigation support to senior attorneys, including managing e-discovery processes and responding to routine subpoenas for records.
* Assist senior attorneys in other legal matters as assigned.
Qualifications
Required Qualifications:
* Must have a Juris Doctorate from an accredited U.S. law school.
* Must maintain a license to practice law in Massachusetts, or ability to obtain "In-house counsel status" in Massachusetts
* A minimum of 2 years work experience as a practicing attorney with a U.S. law firm, as in-house counsel, or the federal government.
* Must have experience reviewing, drafting, and negotiating a wide variety of commercial contracts, such as software licenses, intellectual property licenses, vendor agreements, and non-disclosure agreements).
* Experience with federal government contracts (FAR, DFARS, data rights assertions, CUI and cyber) is highly desirable.
* Must be able to manage and execute multiple projects within required timeframes and expectations.
* Strong negotiation and communication skills, and a demonstrated ability to inform and persuade both orally and in writing.
