Our Deals Tax team works closely with our Deals practice to advise on the tax implications of all aspects of transactions including; Mergers & Acquisitions ('M&A'), Business Recovery Services ('BRS') and Real Estate ('RE'). Part of the wider Corporate Tax network, we work collaboratively across specialisms to drive value and help our clients succeed at all stages of the deal lifecycle, including advising Private Equity ('PE') backed clients.

The Deals Indirect Tax (ITX) team is one of a number of specialist teams which sits within Deals Tax working across the full spectrum of Deals Tax services offered. Whilst team members generally prioritise working in one of these core areas (i.e. M&A, BRS, RE and PE Backed companies), they are also encouraged to work across the other core areas to gain wider experience of working on the varied and global Deals Tax transactions and Private Equity Portfolio companies.

The Role

  • Performing ITX Due Diligence reviews which involve looking at existing and potential ITX issues, VAT compliance and ITX risks for clients wishing to sell / acquire businesses.

  • Providing VAT structuring and restructuring advice to help clients operate their business in the most appropriate manner.

  • Delivering bespoke ITX advice, working closely with Deals Tax specialists to best service our clients needs.

  • ITX Funds flow modelling to simulate models of future ITX liabilities of companies to help clients make informed economic decisions.

  • Pre and Post deal services, including assisting clients with pre acquisition structuring, implementing VAT efficient strategies and VAT compliance support

  • VAT advisory and consultancy assignments for PE backed portfolio companies,

  • Working closely with the other members of the Deals ITX team on a wide variety of deals.

  • You will have the opportunity to use your initiative and liaise effectively with other advisers, playing a key role in managing and developing clients. At the same time you would be given support and encouragement so that you gain experience of working on deals and feel part of a motivated team.

  • The role offers a high level of responsibility, the satisfaction of working on varied, interesting and challenging assignments and potential business cases to progress in what is a rapidly growing and highly successful ITX team.

Essential skills and experience

  • Chartered Tax Advisor (ATT, CTA) or equivalent international or legal professional qualification.

  • You will have Indirect Tax technical and analytical skills

  • You will need a flexible approach to allow you to work as part of a number of client/transaction teams simultaneously.

  • You will have experience of developing and maintaining strong relationships with clients and internally.

  • You will need strong analytical skills and a proven ability to solve complex problems in a collaborative and creative way.

  • You will have experience of project managing and delegating work within a team context, with excellent communication skills.

  • You will have a focus on self-development and in the development of others in your teams
