JOB SUMMARY:
This position will be responsible for providing professional, efficient and effective legal, insurance and administrative support to the General Counsel and legal department of Energera Inc. and its subsidiaries and affiliates. This position will interface with all levels of the organization, including management and the Board of Directors. This position requires a high level of confidentiality, experience with legal documentation primarily in corporate, finance, contracts and insurance, and advanced writing skills. You will be expected to develop strong communications and work cooperatively with various departments.
SPECIFIC DUTIES AND RESPONSIBILITIES (Including but not limited to):
Legal:
- Manage Canadian and U.S. jurisdictions filings and annual returns.
- Work with fleet to endure/manage new equipment registrations (AB).
- Coordinate with outside counsel and maintain Intellectual Property file status reports.
- Review vendor/supplier terms and conditions and contracts and any amendments thereto.
- Assist with the drafting and/or updating of policies and procedures as needed.
- Drafting and/or review of legal documents as needed.
- Review Master Service Agreements and preparing exceptions to terms (manage and coordinate review/input from other stakeholders such as Finance, HSE and coordinate insurance review).
- Generally, support Operations, Sales and Marketing, Finance, and Procurement on all contract review matters and/or provide organization information/exhibits, etc. as needed.
- Preparing Non-Disclosure and Confidentiality Agreements as needed.
- Assist attorneys with all matters related to litigation, including aiding attorneys with interrogatories and other discovery requests.
- Assist in due diligence review, data room management, and related organizational matters.
- Maintain corporate, litigation, and IP files and records in legal SharePoint database.
Insurance Duties:
- Generally, manage all insurance needs of the organization.
- Manage annual insurance renewals.
- Work directly with insurance brokers/insurance companies and manage all insurance claims.
- Conduct pre-claim investigations, legal research, and initial case assessments.
- Obtaining Insurance Certificates for additional insureds as needed.
- Obtaining all necessary documentation for insurance related investigations, including police reports when necessary.
- Coordinate insurance changes for addition/deletion of equipment, premises, property as needed.
Administrative Duties:
- Calendaring legal filing deadlines where applicable.
- Coordinating travel and/or appointments.
- Attend board meetings and take meeting minutes as needed.
- Confidential correspondence/memos.
- Administrative duties as may be requested.
QUALIFICATIONS:
- Strong contract administration and management (review, redline, negotiations) and insurance administration and management (claims review, processing, investigation) experience preferred.
- Ability to take ownership and manage multiple tasks simultaneously.
- Proven analytical, communication, and organizational skills with exceptional attention to detail.
- Ability to be flexible, work under pressure, and adapt to changing work priorities, work flow and work assignments in a fast-paced environment.
- Ability to deal professionally and communicate clearly and concisely both verbally and in writing with internal and external clients.
- Proven ability to problem solve, think independently, and complete projects with minimal supervision.
- Proven process improvement and/or knowledge management skills.
- Ability to organize large amounts of data for easy filing and retrieval.
- Demonstrated skills in Word, Excel, Outlook, and SharePoint.
- Minimum 8-10 years' experience working in-house desired.
