Job Summary

We are seeking a Contracts Specialist to join our Legal and Business Affairs team. As a pivotal member of the team, you will help manage contracts and contractual documents across clients and vendors.

Real Chemistry employees are currently working remote; once the offices re-open, the Contracts Specialist will work in our New York City office or our Florham Park, NJ office.

Responsibilities

* Primary responsibility will be reviewing and editing SOWs, NDA's and amendments across clients.

* Review new SOWs against original client/project MSAs to ensure contract terms are accurate and compliant.

* Draft, review, redline, and amend vendor contracts; growth opportunities to review/negotiate MSA's.

* Help negotiate contract terms with internal stakeholders, including Account, Finance, and other Department leads as well as clients and vendors.

* Negotiate and review specialized clauses such as indemnification, limitation of liability, and expiration clauses.

* Communicate and recommend contract terms to internal stakeholders with ability to answer questions and clarify contractual terms.

* Manage contract review, renewal, and tracking processes/systems, ensuring that renewal dates and other contractual benchmarks are reviewed and addressed.

* Make recommendations to streamline processes/system with internal stakeholders.

Required Skills & Experience

* Undergraduate degree in a Business, Finance or related field.

* 2+ years' corporate/agency experience in drafting and negotiating a wide variety of contracts, including SOWs, Vendor Agreements, as well as media and technology agreements.

* Experience working in PR/marketing/media agency and experience working with IAB necessary.

* Strong drafting, reviewing, and negotiating skills plus solid legal and business acumen, attention to detail.

* Knowledge and understanding of contracts and contractual documents.

* Ability to work independently while liaising with several in-house departments/leads, client groups, and vendors.

* Advanced knowledge of MS Office (Word, Excel, PowerPoint, and Outlook) plus BOX.

* Advanced internet research skills, as well as ability to use a broad range of technology and systems.

* Working knowledge of legal, business, and industry language and terminology, clauses, and standard procedures.

* Understand and comply with Real Chemistry's business procedures and policies.

* Strong ability to use judgment and discretion in solving problems and making decisions when the answer is not apparent while being compliant with company policy and guidelines.

* Adjust priorities to respond to pressing and changing demands; meet deadlines by managing time & priorities.

* Paralegal experience a plus.

* No JDs, please.
